The Board of Directors of Animal Data Analytics, SL (The "Society"), in accordance with the legal and statutory provisions in force, has agreed to call the partners of this Company to the Extraordinary General Meeting of partners to be held at the registered office of the Company, located in Segovia (Segovia), Dámaso Alonso street, number 14, 40.006 CP, on the day December 30 2024at 11 pm, in order to deliberate and resolve the matters included in the following.

ORDER OF THE DAY

1. Ratification of the valid constitution of the General Shareholders' Meeting and the appointment of the positions of President and Secretary.
2. Approval, where applicable, of the appointment of the auditing entity Vahn y Cía Auditores, SL as auditor of the Company's annual accounts for the mandatory verification of the Company's annual accounts for the financial years between January 1, 2024 and December 31, 2024, January 1, 2025 and December 31, 2025 and January 1, 2026 and December 31, 2026.
3. Delegation of powers for the execution of previously adopted agreements.
4. Drafting, reading and, where appropriate, approving the minutes of the meeting.

In relation to the planned Agenda, the following rights of the Members are stated:

In general, the right to information of which the partners are entitled is stated in accordance with the provisions of article 196 of the Consolidated Text of the Capital Companies Law, approved by Royal Legislative Decree 1/2010, of 2 July (“LSC”), in its double aspect:

• Prior to the General Meeting, the shareholders may request in writing from the Administrative Body any information or clarifications they deem necessary regarding the matters included in the agenda; and
• During the General Meeting, the Company's partners may verbally request any information or clarifications they consider appropriate regarding the matters included in the agenda;

Attendance of the Partners to the Ordinary General Meeting by telematic means: Pursuant to the provisions of Article 21 bis of the Bylaws, the Board of Directors of the Company has decided to allow those members who so wish to attend by telematic means, under the terms set out below:

• Telematic assistance will be possible from any device with internet access.
• Partners who wish to attend the General Meeting telematically must send, no later than 12:00 p.m. 11 pm day December 28th 2024, an email to the following address ada@ada-animaldata.com of society requesting telematic assistance;
• In order to prove their identity, members must provide proof of identity in the application submitted using the Electronic National Identity Document or an electronic signature based on an Electronic User Certificate issued by the National Mint and Stamp Factory – Royal Mint (FNMT-RCM); or the National Identity Document (DNI), or the Foreigner Identification Number (NIE);
• In any case, the Company reserves the right to request from members, or from those who wish to attend as representatives of a member, any additional documentation it deems necessary to verify their status as members or representatives and thus guarantee the authenticity of their identity and, where applicable, the validity of the representation;
• From the Company, and after the corresponding validation of the partner's identity, as well as, where appropriate, the validity of the representation, the attendees will be enabled to attend the General Meeting, for which the corresponding link to the Microsoft Teams application will be sent to the email address provided by the Partner to the Company so that they can attend the General Meeting remotely, together with the precise instructions to make the connection,
• Those members who attend electronically and intend to make interventions must send them to the Company prior to the moment of constitution of the General Meeting.
